Terms of Service
Last updated: October 27, 2026
These Terms of Service (the "Terms") are a binding agreement between Cateround ("Cateround," "we," "us") and the business that purchases or uses our services ("Client," "you"). By checking the box to accept these Terms, completing a purchase, or using the Services, you agree to these Terms. If you accept on behalf of a business, you confirm you have authority to bind it.
1. The Services
We provide automation packages (such as "Leads" and "Reviews"), related setup and support, and, when purchased together with a package, website design and hosting (together, the "Services"). The features of each package are those described on our website at the time of purchase. We may improve or change features as long as we do not materially reduce the Services you paid for during your current billing period.
2. Business use only
The Services are offered only to businesses for business purposes, not to consumers for personal, family or household use.
3. Fees, billing and automatic renewal
- First payment. Your first payment covers setup and your first month of service.
- Automatic monthly renewal. After that, your subscription renews automatically every month, and you authorize us and our payment processor to charge your payment method each month until you cancel.
- Cancel anytime. You may cancel at any time by email to hello@cateround.com or through the billing portal. Cancellation takes effect at the end of the current paid month. No long-term contract applies.
- Refunds. Except as stated in Section 9 (Guarantee) or required by law, fees are non-refundable, including setup fees and partial months.
- Late or failed payments. If a payment fails and is not resolved within 10 days of our notice, we may suspend the Services until paid.
- Price changes. We may change prices with at least 30 days' email notice. The new price applies from your next billing period after the notice. If you don't agree, you may cancel before it takes effect.
- Taxes. Prices do not include taxes. You are responsible for any applicable taxes.
4. Usage limits and extra charges
- Text messages: 500 per month included; additional texts are $0.03 each.
- Emails: 2,000 per month included; higher volume requires a new quote.
- Website updates by us: 2 per month included; additional work is $79 per hour, billed in 15-minute blocks.
We will try to notify you before you reach a limit. We may pause sending to protect your account and ours if usage is unusually high or appears abusive.
5. Your responsibilities
You agree to:
- provide accurate, complete and lawful information, prices and content, and keep it up to date;
- review and approve all messages before they are activated. You are responsible for the content of messages sent on your behalf;
- obtain and keep all consents required by law before any person is contacted through the Services, including under the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act and state laws;
- never upload, import or message purchased, rented or scraped contact lists;
- honor opt-out requests promptly;
- give us the access we need (for example, to your email, calendar, domain or Google Business Profile) and keep your own login credentials secure; and
- use the Services only for lawful purposes.
Missed-call text-back acknowledgment. You understand that the law on automated texts sent in response to a missed call is not fully settled. Messages are kept informational and include opt-out instructions. You choose whether to activate this feature and accept responsibility for that choice.
6. Prohibited uses
You may not use the Services to send spam, unlawful, deceptive, harassing or infringing content; to impersonate anyone; to collect sensitive information without authorization; or in any way that violates carrier rules, platform rules (including Google review policies) or law. We may suspend or terminate the Services immediately for any violation.
7. Third-party services
The Services rely on third-party platforms we do not control, including email providers, calendars, phone carriers, text-messaging networks, review platforms and hosting providers. Text messaging requires carrier registration and approval, which is decided by third parties. We are not responsible for third-party outages, delays, approval decisions, policy changes or fees they impose, and the Services may change if a third party changes or discontinues its service.
8. Ownership and license
- Your content and data. You own your content and data, including your leads, reviews, website content, domain and photos. You give us a limited license to use them only to provide the Services.
- Our technology. We own all workflows, automations, templates, code, designs (other than your content), documentation and know-how used to provide the Services, and all improvements to them. Except for the website files delivered to you under Section 12, no rights in our technology are transferred to you.
- Feedback. If you send us suggestions, we may use them without obligation to you.
- Publicity. We will not use your name, logo or reviews in our marketing without your written permission.
9. Guarantee
If your automation package is not live within 14 days after we receive all required information, content and approved messages from you, your second month of service is free. Delays caused by text-messaging carrier registration, third-party approvals, or late or incomplete information from you do not count toward the 14 days. Websites are not covered by this guarantee; a website is ready for your review within 3 business days after we receive your logo, photos, services and prices. This guarantee is your sole remedy for a delayed launch.
10. Confidentiality
Each party will keep confidential the other's non-public business information received through the Services and use it only to perform under these Terms, except where disclosure is required by law.
11. Data protection
We process your customers' personal information only on your instructions and to provide the Services, as described in our Privacy Policy. We use reasonable safeguards to protect it and will notify you without unreasonable delay if we become aware of a security breach affecting it.
12. Cancellation and termination
- You may cancel as described in Section 3.
- We may terminate the Services for any reason with 30 days' written notice, or immediately if you breach these Terms, fail to pay, or use the Services unlawfully.
- On cancellation or termination, within a reasonable time we will provide: your lead list, quotes, review history and approved messages; for website clients, your website files and content spreadsheet; and, on request, the information needed to transfer your text-messaging number to another provider. We will then delete our copy of your data within 30 days, except where the law requires us to keep it. Your domain remains yours.
- Sections 3 (unpaid fees), 5, 8, 10, 12 and 13–20 survive termination.
13. Disclaimer of warranties
EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT GUARANTEE ANY NUMBER OF LEADS, BOOKINGS, REVIEWS, SEARCH RANKINGS OR REVENUE, OR THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.
14. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW: (A) NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BOOKINGS, DATA OR GOODWILL, EVEN IF ADVISED OF THEIR POSSIBILITY; AND (B) OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE FEES YOU PAID US IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITS DO NOT APPLY TO YOUR PAYMENT OBLIGATIONS OR YOUR INDEMNIFICATION OBLIGATIONS.
15. Indemnification
You will defend, indemnify and hold harmless Cateround and its owners, members, employees and contractors from any claims, damages, fines, penalties, losses and expenses (including reasonable attorneys' fees) arising from: (a) messages sent on your behalf or the content you provide or approve; (b) your failure to obtain required consent or honor opt-outs, including claims under the TCPA, CAN-SPAM or state laws; (c) your breach of these Terms; or (d) your violation of any law or third-party right.
16. Force majeure
Neither party is liable for delays or failures caused by events beyond its reasonable control, including outages of third-party platforms, carrier or network failures, natural disasters, government action or labor disputes. This does not excuse payment obligations.
17. Governing law and venue
These Terms are governed by the laws of the State of Maryland, without regard to its conflict-of-laws rules. Any dispute will be brought exclusively in the state or federal courts located in Baltimore County, Maryland, and each party consents to their jurisdiction. Before filing any claim, the parties agree to try in good faith to resolve the dispute informally for 30 days after written notice.
18. Jury trial and class action waiver
TO THE FULLEST EXTENT PERMITTED BY LAW, EACH PARTY WAIVES ITS RIGHT TO A JURY TRIAL, AND ALL CLAIMS MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING.
19. Time limit for claims
Any claim relating to the Services or these Terms must be filed within one (1) year after it arises, or it is permanently barred, to the extent permitted by law.
20. General
- Changes to these Terms. We may update these Terms with at least 30 days' email notice. Continued use after the effective date means you accept the changes; if you don't agree, you may cancel before then.
- Electronic communications and signatures. You agree that notices may be sent by email and that clicking to accept these Terms is a valid electronic signature.
- Notices. Notices to us: hello@cateround.com. Notices to you: the email on your account.
- Independent contractors. The parties are independent contractors. Nothing creates a partnership, employment or agency relationship.
- Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition or sale of assets.
- Severability. If any provision is found unenforceable, it will be limited to the minimum extent necessary, and the rest remains in effect.
- No waiver. Failure to enforce a provision is not a waiver of it.
- Entire agreement. These Terms, together with our Privacy Policy and the package description at the time of purchase, are the entire agreement between the parties and replace any prior discussions.
